Terms of Service 

The following general terms and conditions (hereinafter "GTC") apply to all - including future - business relationships between Haslab GmbH and its customers, hereinafter 
referred to as "orderer". 
Terms and conditions of the customer that deviate from or are additional to our General Terms and Conditions will not be recognized unless otherwise expressly agreed in writing.

In the context of an ongoing business relationship, the GTC apply to all future transactions between the contracting parties without express approval. Oral side agreements, commitments, agreements and cost proposals are only valid with written confirmation. E-mail is also considered to be in writing. 

All offers or cost estimates made by Haslab GmbH are non-binding unless otherwise stated in the offer. All offers made by Haslab GmbH are valid for a period of one month from the date of the offer, unless other periods have been expressly agreed. 
The order signed by the customer is a binding offer. The contract is concluded with the order confirmation or with the first performance. All verbal orders only become legally effective once they have been confirmed in writing. 

The following conditions apply to all offers, orders, deliveries and services, unless otherwise stated or agreed.

Unless otherwise stated, the prices stated on the order confirmation are based on the purchase of all items and do not include VAT. Pricing for individual products may vary depending on the quantity ordered. Haslab GmbH rejects prices specified by the customer. Our prices can be adjusted to the respective market situation without prior notice. 
The prices are exclusive of VAT.

Payment within 30 days net without discount. For payments made after 31 days from the invoice date, Haslab GmbH reserves the right to charge dunning costs and interest on arrears from the expiration date. 
In the case of payments made after 60 days from the invoice date, Haslab GmbH reserves the right to charge collection costs and interest on arrears from the expiration date. Orders with a tiered payment plan must be approved by Haslab GmbH's accounting and accounts payable department. 

The following conditions apply to all offers, orders, deliveries and services, unless otherwise stated or agreed.

If we are unable to meet binding delivery times for reasons for which we are not responsible (malfunctions for which we are not responsible), we will inform the customer of this immediately and at the same time communicate the expected new delivery time. If it is also not possible to provide the service within the new period, we are entitled to withdraw from the contract in whole or in part. Any counter-performance already rendered by the customer will be refunded immediately. Our statutory rights of withdrawal and termination as well as the statutory provisions on the execution of the contract in the event of an exclusion of the obligation to perform (e.g. impossibility or unreasonableness of the services and/or supplementary performance) remain unaffected. The rights of withdrawal and termination also remain unaffected  of the customer with the proviso that these can only be exercised after the appropriate deadline has been set and the deadline set has expired. Claims for damages by the customer are based on these terms and conditions. 

All goods remain the property of Haslab GmbH until the price has been paid in full 

All deliveries are made according to the current Incoterms. 
Shipping costs and any additional handling costs will be charged to the buyer. 
There is a surcharge for express deliveries. 
In the case of shipping (including carriage paid delivery), the risk is transferred to the buyer. In the event of any damage, he must immediately file recourse with the forwarding agent.

Orders with a net goods value of CHF 400.00 or more for parcel delivery are understood to be carriage paid to domicile. 
For orders with a goods value of less than CHF 400.00, the actual postage and packaging costs will be charged. Deliveries by truck are made from the Haslab GmbH warehouse, whereby the effective packaging and shipping costs are calculated regardless of the order value. 

In commercial transactions, the customer is obliged to inspect the delivery item immediately after receipt and to report any visible defects or other visible complaints about incomplete or incorrect delivery within no later than 
8 working days after receipt of the delivery. Unrecognizable defects or complaints must be reported to us in writing within 8 working days of their discovery at the latest. If the customer does not meet this obligation, all warranty claims are excluded. 

A copy of the invoice is required for all returns. Goods that were correctly delivered by Haslab GmbH will only be taken back after prior agreement, in new condition and in the original packaging. The items returned postage paid to Lager Haslab GmbH are checked by our incoming goods department and must be in perfect, salable condition. A restocking fee of 25% of the retail price may apply. Custom orders cannot be returned under any circumstances.

No devices or device accessories may be returned to Haslab GmbH that are contaminated with toxic, caustic, biologically active, explosive, radioactive or other dangerous substances. 

Haslab GmbH guarantees that the products supplied are free from material or manufacturing defects. This warranty is provided provided that the product is used, handled and maintained properly and that all warranty claims, unless otherwise communicated, are made within the  guarantee period. Wearing parts are excluded from the guarantee. The warranty service relates exclusively to product replacement, repair or, if this is not possible, a refund of the sales price. The warranty claim expires if repairs are carried out by the customer or a third party. The customer returns the product to Haslab GmbH freight collect.

Swiss law is exclusively applicable to the contractual relationship between the customer and Haslab GmbH. 
The place of jurisdiction at the registered office of Haslab GmbH is responsible for any disputes.

All documents provided by us, such as samples, drawings, plans, cost estimates, offers, illustrations, etc. remain our exclusive property; we are also entitled to the copyrights therefrom. These documents may not be used for other purposes, duplicated, passed on to third parties or circulated in any other way; they are us at anytime  to return at first request. Furthermore, our customers are prohibited from copying our products, offers, having them copied or contributing to the understanding of the products, offers, unless they were produced exclusively according to their specifications and instructions.

Our customer is obliged to regard all information that he receives from us in connection with an offer or with the conclusion or execution of a contract as part of our company secrets and to treat it as strictly confidential, in particular all commercial and technical data.

Violation of clauses 1 and 2 above entitle us to claims for damages.

Our general terms and conditions are binding for the present as well as for future business 
(including oral degrees). We reserve the right to change or revoke them.
